1. OVERVIEW. The TNS x iBUYPOWER Series (the “Series”) is an online tournament circuit organized and administered by Tampa Never Sleeps (“TNS”) in collaboration with iBUYPOWER. The Series is open to eligible participants located within North America. The objective of the Series is to provide a structured competitive environment through which participants may earn the opportunity to compete in qualifying events and advance to a final stage. The winner of the final stage will be awarded a pre-built iBUYPOWER gaming PC (the “Prize”), together with any additional prizes that may be provided by iBUYPOWER in its sole discretion.

The Series features four (4) supported game titles: 2XKO, Street Fighter 6, TEKKEN 8, and Ultimate Marvel vs. Capcom 3. Participants will compete in a series of three (3) weekly online qualifiers per game title, earning cumulative points based on final placement as described in Section 4. At the conclusion of the qualifiers, the top eight (8) cumulative point earners for each title shall advance to a double-elimination invitational bracket (the “Finals”).

One (1) winner from each Finals bracket shall be awarded a pre-built gaming PC from iBUYPOWER (the “Prize”). In addition, the Participants who place 2nd and 3rd in each Finals bracket will also receive additional prizes provided by iBUYPOWER, as further detailed in Section 5.

Participation in the Series constitutes the Participant’s full and unconditional agreement to these Official Rules, including all eligibility criteria, conduct requirements, and administrative decisions made by TNS, which shall be final and binding in all matters related to the Series.

2. ELIGIBILITY. To be eligible to participate in the Series, each player (“Participant”) must meet the following criteria.
   • RESIDENCY. Participant must reside in North America at the time of entry and throughout the duration of the Series. TNS reserves the right to request documentation to verify residency.
   • AGE REQUIREMENT. Participant must be thirteen (13) years of age or older. Participants under the age of eighteen (18) may require parental or legal guardian consent to participate in the Series.
   • CODE OF CONDUCT. All Participants must comply with the TNS Code of Conduct, including any rules governing sportsmanship, fair play, and professionalism. Violations may result in disqualification.
3. TOURNAMENT FORMAT
   • The Series will consist of four (4) weekly online qualifiers per game title (2XKO, Street Fighter 6, TEKKEN 8, and Ultimate Marvel vs. Capcom 3).
   • Participants will earn points based on performance in each qualifier, as outlined in Section 4.
   • At the conclusion of the qualifiers, the eight (8) highest-ranking unsponsored Participants by cumulative point total in each title will advance to the Finals.
   • Final bracket seeding will be determined based on cumulative points earned.
   • In the event a Participant qualifies for the Finals in multiple game titles, the Participant may only compete in one (1) game of their choosing. The unselected slot(s) shall be offered to the next eligible highest-ranking Participant in that title’s leaderboard.
4. POINT STRUCTURE
   • Participants will be awarded points per qualifier based on their final placement, as follows:

• TNS reserves the right to determine final placements and to resolve any scoring discrepancies at its sole discretion.
• In the event of a tie in cumulative points that affects qualification or seeding for the Finals, all players tied within the Top 8 cumulative scorers for each individual game title shall be granted entry into the Finals.

5. PRIZES
   • FIRST PLACE PRIZE. The first place winner of the Series finals shall be awarded one (1) pre-built iBUYPOWER Gaming PC powered by Intel (the “First Place Prize”).
   • SECOND PLACE PRIZE. The second place finisher of the Series finals shall be awarded one (1) iBUYPOWER x Junkfood Arcade SnackBox controller, one (1) Peepo plush, and two hundred fifty (250) Chimera Points (collectively, the “Second Place Prize”).
   • THIRD PLACE PRIZE. The third place finisher of the Series finals shall be awarded one (1) Peepo plush and one hundred fifty (150) Chimera Points (the “Third Place Prize”).
   • GENERAL PRIZE TERMS. Prizes are non-transferable and may not be substituted or redeemed for cash, except at the sole discretion of iBUYPOWER and/or TNS. TNS and iBUYPOWER reserve the right to substitute any prize with another prize of equal or greater value. TNS shall not be held liable for any issues, delays, or failures related to the delivery, shipment, or condition of any prize.
   • CHIMERA POINTS. “Chimera Points” are promotional credits redeemable exclusively through the official iBUYPOWER website for eligible products and services. Chimera Points are promotional in nature, do not constitute legal tender, and have no independent cash value. They are non-transferable, may not be redeemed for cash or cash equivalent, and are subject to the terms and conditions established by iBUYPOWER.
   • 5 TAXES. All federal, state, provincial, and local taxes, as well as any customs duties, import fees, or other governmental charges associated with the receipt or use of any prize, are the sole responsibility of the individual prize winner. TNS and iBUYPOWER shall not withhold or assume any tax obligations on behalf of prize winners.

6. ADDITIONAL TERMS AND CONDITIONS
   • Prize recipients may be required to execute additional documents, including a Player Agreement and/or Media Release Form, to formally accept the Prize.
   • Any form of cheating, unsportsmanlike behavior, tag misrepresentation, or breach of these rules may result in forfeiture of eligibility, earned points, or Prize.
   • TNS reserves the right to amend these rules, including tournament structure, dates, and qualification criteria, at any time.
7. LIMITATION OF LIABILITY
   • ASSUMPTION OF RISK. By participating in the Series, each Participant voluntarily assumes all risks associated with their involvement, including but not limited to travel-related incidents, internet connectivity issues, equipment malfunctions, and competitive outcomes.
   • NO LIABILITY FOR DAMAGES. To the fullest extent permitted by law, TNS, its officers, directors, affiliates, agents, and representatives shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or connected with the Series, including but not limited to personal injury, property damage, or loss of data or earnings.
   • FORCE MAJEURE. TNS shall not be responsible for any delay or failure to perform due to causes beyond its reasonable control, including but not limited to natural disasters, acts of government, war, pandemic-related issues, labor disputes, or technological failures.
   • DISQUALIFICATION AND FORFEITURE. TNS reserves the right to disqualify any Participant for rule violations or misconduct. Disqualification may result in loss of points, removal from the Series, or forfeiture of any awarded Prize.
   • RELEASE. By participating, each Participant agrees to release and hold harmless TNS, its affiliates, partners, and sponsors from any and all claims, liabilities, damages, or losses arising from or related to their participation in the Series or acceptance of the Prize.
8. ACCEPTANCE OF TERMS
   • By registering for or participating in the TNS X iBUYPOWER Series, each Participant acknowledges that they have read, understood, and agreed to be bound by these Official Rules and Terms of Participation, including any updates or supplemental terms issued by Tampa Never Sleeps (TNS). Participation in any part of the Series constitutes full and unconditional acceptance of these rules, and of all decisions made by TNS and its authorized representatives, which shall be final and binding in all matters relating to the Series.
9. GOVERNING LAW
   • These Official Rules shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any legal action or proceeding arising under or related to the Series shall be brought exclusively in the state or federal courts located in Hillsborough County, Florida. By participating in the Series, each Participant irrevocably submits to the jurisdiction of such courts.
